Welcome to Setup. These Terms & Conditions (the "Terms") are a legal agreement between you ("you" or "User") and Setup (also referred to as "we," "us," or "our") governing your access to and use of the Setup mobile application, website at gosetup.org, and any related services we offer (collectively, the "Service"). Please read these Terms carefully. They include important disclaimers about Setup's role, your interactions with other users (including in-person dates), data security, and the limits of our liability. By creating an account or otherwise using the Service, you agree to these Terms in their entirety. If you do not agree, do not use the Service.
Setup is a tool that helps the people in your life set you up with the people in their life. The Service lets users add singles they personally know, build a portfolio of those singles, suggest matches between them, and collaborate with other matchmakers through live matchmaking Rooms and Communities. Setup is a software tool, not a matchmaking service. We do not select, curate, recommend, or facilitate matches between Users; all introductions are initiated by individual matchmakers using the Service. We do not employ matchmakers, dating coaches, or similar service providers.
To use Setup you must:
If at any time you no longer meet these requirements, you must delete your account immediately. We may delete your account if we learn you do not meet them or that you provided false or misleading information.
To use the Service you must create an account using accurate and current information, including your name, email, and phone number. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security. We are not liable for any loss or damage arising from your failure to keep your credentials secure.
Subject to your compliance with these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to install and use the Setup app on a device you own or control, solely for your personal, non-commercial use. You may not (a) reverse engineer, decompile, or disassemble the app; (b) modify, adapt, translate, or create derivative works of the app; (c) sell, lease, sublicense, or transfer your rights; (d) use the app to build a competing product; (e) use bots, scrapers, or automated tools to access or extract data from the Service; (f) circumvent any security or feature limits; or (g) use the Service for any purpose other than its intended purpose. The app is licensed, not sold; we retain all rights not expressly granted.
Matchmakers. Every Setup user is a matchmaker by default. Matchmakers add singles they personally know, suggest matches, and collaborate with other matchmakers ("comatchmakers") through Rooms and Communities.
Singles. A user may also create a single profile so that matchmakers they have authorized can suggest matches for them. Single profiles include date of birth, gender, the metropolitan area the single lives in, dating preferences, and a profile photo.
To add a single to your matchmaker portfolio, that person must accept your connection request inside the app. By sending a connection request to a single or by inviting a single to Setup via SMS, you represent that (a) you personally know the individual, (b) the individual has not asked you not to contact them, and (c) you have a good-faith reason to believe they would welcome the invitation. You may not add anyone to your portfolio, share their information with comatchmakers, or suggest matches involving them without their consent. You will not import contacts from your phone or other sources without permission, and Setup does not retain contact data from your address book.
Rooms allow multiple matchmakers to work together on match suggestions in a shared, time-limited session. By entering a Room, you acknowledge that the singles you have added (and information about them — including names, photos, profile details, and any compatibility data) will be visible to the other matchmakers in that Room while you are present. If you leave a Room, your singles cease to be visible to the other matchmakers in that Room. Rooms may close automatically after a period of inactivity and are subject to the host's moderation. You agree to use Rooms only for genuine matchmaking purposes and to treat the information you see in a Room with discretion and respect.
Communities are shared spaces that group matchmakers around something they have in common (a place of worship, a friend group, a neighborhood, a brand activation). When you join a Community, other members can see your matchmaker profile and that you are a member. Community admins may approve or decline join requests, edit the community's profile, and remove members. You may leave any Community at any time. Setup is not responsible for the conduct of any Community or its members.

We may, at our sole discretion and without notice, warn, suspend, or terminate any User who violates these rules, and we may report suspected illegal activity to law enforcement.
You retain ownership of content you submit to Setup, including profile photos, biographical information, matchmaker notes, single profiles, and community content ("Your Content"). By submitting Your Content, you grant us a non-exclusive, worldwide, royalty-free, sublicensable license to host, store, display, reproduce, and distribute Your Content as necessary to operate and improve the Service. You represent and warrant that you have the right to grant this license and that Your Content does not violate any third-party rights. You may only upload photos of yourself for your own profile and singles you have authorization to add, and you must only upload community images you have the right to use. We may, but are not obligated to, review and remove any content that we determine in our sole discretion violates these Terms.
By creating an account, you consent to receive communications from us, including transactional emails, SMS messages relating to phone verification, and push notifications about activity in your account (connection requests, Room invitations, match updates, nudges, and Community activity). Standard message and data rates may apply. You can manage push notifications in your device settings and unsubscribe from non-transactional emails at any time.
Setup does not conduct criminal background checks or identity verification on its Users. We do not verify that any User is who they claim to be, that any single profile is accurate, that any matchmaker has the consent of the singles they have added, or that any User does not have a criminal history or other characteristics that may make them unsuitable as a date. We are not a "consumer reporting agency" under the Fair Credit Reporting Act and do not provide consumer reports. We reserve the right (but undertake no obligation) to use available public records to investigate Users we believe may have violated these Terms.
YOU ARE FULLY AND SOLELY RESPONSIBLE FOR YOUR INTERACTIONS WITH OTHER USERS, INCLUDING ANY IN-PERSON MEETING, DATE, RELATIONSHIP, OR OTHER ENCOUNTER ARRANGED WITH OR THROUGH THE SERVICE. Setup is a software tool that records suggestions and facilitates introductions; it does not chaperone, supervise, accompany, or oversee any in-person meeting between Users. We make no representations or warranties as to the conduct, identity, intentions, fitness, sobriety, character, or compatibility of any User, matchmaker, or single. We do not endorse any introduction, match, suggestion, or comatchmaker.

We strongly encourage you to follow these guidelines whenever you meet someone in person through introductions made via Setup:
Setup makes no guarantees, representations, or warranties as to (a) the number or quality of matches you will receive, (b) the compatibility of any User with any other User, (c) whether any introduction will result in a relationship or any other outcome, or (d) the truthfulness, accuracy, or completeness of any information posted by another User. Any reliance you place on information provided through the Service is at your own risk.
The Service relies on third-party platforms and providers, including Apple's App Store, Google Play, Firebase, Google Maps, and others. Your use of those services is governed by their own terms; we are not responsible for their availability, conduct, or policies. If you obtained the app from a third-party app store (each, an "App Distributor"), you acknowledge that the license granted in these Terms is between you and Setup, not the App Distributor; that Setup, not the App Distributor, is responsible for the app and its content; and that the App Distributor has no obligation to provide maintenance or support. App Distributors are third-party beneficiaries of this section.
The Setup name, the Setup button logo, the gosetup.org website, the app design, and all related text, graphics, and software are the property of Setup or its licensors, and are protected by intellectual property laws. You may not copy, modify, distribute, sell, or create derivative works from our intellectual property without our prior written consent. All rights not expressly granted to you are reserved.
We implement reasonable technical and organizational measures designed to protect the information you provide to us. However, no method of internet transmission or electronic storage is 100% secure. We cannot and do not guarantee the privacy, security, integrity, or authenticity of any information transmitted to or stored within the Service, and we cannot guarantee that our security measures will prevent unauthorized access by third parties.
To the maximum extent permitted by applicable law, Setup is not liable for any unauthorized access to, disclosure of, alteration of, loss of, deletion of, or destruction of your data, whether resulting from a security breach, hacking, account takeover, third-party service failure, system error, force majeure event, or any other cause. You acknowledge that you provide your information at your own risk. You should not provide sensitive information (such as financial account information, government identification numbers, or health records) through the Service.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SETUP DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE; THAT DEFECTS WILL BE CORRECTED; OR THAT INFORMATION ON THE SERVICE IS ACCURATE, RELIABLE, OR CURRENT. WE ARE NOT RESPONSIBLE FOR THE ACTIONS, CONDUCT, OR CONTENT OF ANY USER, ANY MATCHMAKER, OR ANY THIRD PARTY.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL SETUP, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR USE, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE, INCLUDING (WITHOUT LIMITATION) DAMAGES ARISING FROM YOUR INTERACTIONS WITH OTHER USERS; FROM ANY DATE, MEETING, OR RELATIONSHIP ARRANGED THROUGH THE SERVICE; FROM ANY BODILY INJURY, EMOTIONAL DISTRESS, OR DEATH; FROM ANY UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA; OR FROM ANY VIRUS, COMMUNICATION FAILURE, OR THEFT OR DESTRUCTION OF DATA, WHETHER OR NOT WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, AND REGARDLESS OF THE CAUSE OF ACTION (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE).
IN NO EVENT WILL SETUP'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF (A) THE AMOUNTS YOU HAVE PAID TO SETUP IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR (B) ONE HUNDRED U.S. DOLLARS ($100.00). SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES; IN SUCH JURISDICTIONS, OUR LIABILITY IS LIMITED TO THE FULLEST EXTENT PERMITTED BY LAW.
You agree to indemnify, defend, and hold harmless Setup and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to (a) your use or misuse of the Service; (b) Your Content; (c) your violation of these Terms; (d) your interactions with any other User, including any in-person meeting or date; or (e) your violation of any applicable law or third-party right.
We may suspend or terminate your access to the Service at any time, with or without notice, for any reason, including conduct we determine to violate these Terms or to be harmful to other Users, to us, or to third parties. You may delete your account at any time from inside the app or the website. Upon termination, your license to use the Service ceases immediately. Sections that by their nature should survive termination (including, without limitation, Sections 12-21 and 25) will survive.
We may add, modify, suspend, or discontinue any feature of the Service at any time, with or without notice. We may also revise these Terms from time to time. Material changes will be reflected by an updated "Last updated" date at the top of this page and, where appropriate, by in-app notice. Your continued use of the Service after such changes constitutes acceptance of the revised Terms.
These Terms are governed by the laws of the State of New York, without regard to conflict-of-law principles. Subject to applicable law, you and Setup agree that any dispute arising out of or relating to these Terms or the Service shall be brought exclusively in the state or federal courts located in New York County, New York, and you consent to the personal jurisdiction of those courts. To the fullest extent permitted by law, you waive any right to participate in a class action or class-wide arbitration against Setup. Any cause of action arising out of or related to the Service must be filed within one (1) year after the cause of action arose, or it is permanently barred.
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force. Our failure to enforce any provision is not a waiver of that provision. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Setup regarding the Service. You may not assign your rights under these Terms without our written consent; we may assign ours freely. Headings are for convenience only. There are no third-party beneficiaries other than as expressly set forth herein. We are not liable for any failure or delay caused by events beyond our reasonable control (force majeure).
